Multifamily MBS Disclosure Documents

Original issuance disclosure for a Multifamily Fannie Mae MBS consists of a prospectus and the prospectus supplement (and documents incorporated by reference into those documents). The prospectus supplement includes a Prospectus Supplement Narrative, Pool Statistics, and Schedule of Loan Information (often referred to as a "Schedule A"). Together, these documents provide material information regarding the security and the loans in the pool. At this time, disclosure documents for most pools issued since May 1, 1996, are available.

Prospectus
Each prospectus contains detailed information about the Fannie Mae MBS program in place during its effective period. The information includes such topics as a description of the certificates and the Fannie Mae Purchase Program.

Prospectus Supplement Narrative
The Prospectus Supplement Narrative includes information about the pooled mortgage loans backing that particular issue of the certificates and about the certificates themselves.

A Prospectus Supplement Narrative is generally available two business days before the settlement date of the MBS pool. The information in the Prospectus Supplement Narrative may be more specific or more complete than the information in the prospectus because it describes a specific issue of certificates.

Pool Statistics
Pool Statistics offer specific information about pool characteristics, such as unpaid principal balance (UPB) at issuance, issue date, CUSIP number, weighted average annual interest rate, and geographic distribution.

Schedule A
The Schedule A has approximately 20-25 data fields (Schedule As for adjustable-rate mortgage (ARM) loans and subordinate loans differ from Schedule As for fixed-rate loans) and provides basic loan and property information including:

  • Fannie Mae loan number,
  • principal balance,
  • interest rate,
  • maturity date,
  • city,
  • state,
  • ZIP code,
  • loan-to-value (LTV),
  • net operating income (NOI),
  • occupancy, and
  • debt service coverage ratio (DSCR).
