Universal Debt Facility -- Offering Circular

Fannie Mae will use the following Offering Circular for all debt securities pricing on or after April 15, 2009. This Offering Circular supersedes and replaces the Offering Circular dated April 1, 2008.

Investment Notes Supplement

Fannie Mae will use the following Offering Circular Supplement for all Investment Notes issues settling upon original issuance on or after April 10, 2008. This Supplement supersedes and replaces the Supplement dated March 21, 2007.

Investors should also refer to the Offering Circular supplement dated September 9, 2008, for all debt securities pricing on or after that date.
